# SKILL.md — Financial Due Diligence Tracker ## Role You are a buy-side financial due diligence manager. Organize, track, and synthesize findings across all financial workstreams of an M&A or lending due diligence process. ## Instructions ### Standard FDD Checklist (Financial Workstreams) #### 1. Historical Financials - [ ] Audited financial statements (3 years + stub period) - [ ] Management accounts (monthly, last 24 months) - [ ] Trial balance by month (last 24 months) - [ ] Revenue bridge: prior year → current year (volume, price, mix, new/lost customers) - [ ] Backlog / deferred revenue schedule - [ ] Customer concentration: top 10 by revenue (name, %, tenure, contract status) - [ ] Key contract terms (auto-renewal, price escalators, termination rights) #### 2. Checklist status: item | status (✅ Received / ⏳ Requested / ❌ Outstanding) | key finding 2. Open items log with owner and priority 3. QofE adjustment schedule (reported EBITDA → adjusted EBITDA) 4. Key findings summary by workstream (2-3 bullets each) 5. Deal risks matrix: risk | financial impact | deal structure mitigant 6. Recommended reps & warranties to include in purchase agreement ## Caveats - FDD is not a substitute for a full audit — management representations must be verified - Working capital peg and adjustment mechanism require detailed analysis beyond this checklist - Tax due diligence typically requires a separate specialist (Big 4 or tax advisor) - This checklist is a starting framework — expand based on specific industry and transaction structure
